1. About Kourierly

Kourierly ("the Platform," "we," "us," or "our") is a technology platform that enables users to connect for delivery services. Kourierly itself does not own, operate, or control any vehicles, nor does it act as an agent, broker, employer, or insurer for any user. We are purely a technology intermediary facilitating connections between independent parties.

2.Acceptance of Terms

By accessing or using Kourierly, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, you must not use the Platform.

3. Eligibility

Users must be 18 years or older and legally able to enter into binding agreements. By using Kourierly, you confirm you meet these requirements and have the legal capacity to enter into this agreement.

4. Account Registration & Security

Security Measures:

• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.
• You must provide accurate, current, and complete information during registration.
• If you suspect unauthorized use of your account, you must notify Kourierly support immediately.
• You may not transfer, sell, or share your account with others.
• Access controls and authentication systems

5. User Conduct & Prohibited Items

You agree to use Kourierly for lawful purposes only and in compliance with all applicable laws and regulations.

You must not use the Platform for:

• Transporting illegal, dangerous, hazardous, or prohibited items.
• Fraudulent, abusive, harassing, or threatening behavior.
• Impersonating others or misrepresenting your identity.
• Sending spam, unsolicited communications, or promotional materials.
• Interfering with the Platform's operation or security.
• Violating any local, state, national, or international laws.

Prohibited Items Include:

• Illegal substances, weapons, or explosives.
• Perishable items without proper packaging.
• Live animals or plants.
• Confidential, sensitive, or irreplaceable documents (such as passports, Aadhaar cards, government certificates, legal deeds, academic mark sheets, bank instruments, or other official papers)
• Items exceeding declared weight or size limits.
• Currency, precious metals, or valuable securities.

Kourierly reserves the right to suspend or terminate accounts for policy violations without prior notice

6. Platform Role and Comprehensive Liability Limitation

Our Role:

• Kourierly is a technology platform that facilitates connections between users.
• We do not participate in, supervise, or control the actual delivery of goods.
• All arrangements, negotiations, and transactions are strictly between Senders and Delivery Partners.
• We do not guarantee delivery time, safety, condition, or successful completion of deliveries.

Complete Liability Disclaimer:

Kourierly, its founders, directors, employees, affiliates, and agents are NOT liable for :

• Loss, theft, damage, delay, or non-delivery of parcels.
• Any injuries, accidents, disputes, or criminal activities during delivery.
• Financial losses, including but not limited to payments, refunds, or compensation.
• Any hacking, technical issues, unauthorized access, system failures, or data breaches.
• Quality, safety, legality, or authenticity of items being transported.
• Actions, omissions, or conduct of any user of the Platform.
• Any indirect, incidental, consequential, special, or punitive damages.
• Business interruption, lost profits, or reputational damage.
• Any damages exceeding the subscription fees paid by the user in the preceding 12 months.

Maximum Liability:

In no event shall Kourierly's total liability exceed the subscription fees paid by the user in the 12 months preceding the claim.

7. User Verification and Safety

• Kourierly may, but is not obligated to, verify the identity or background of users.
• Any verification process does not guarantee the safety, reliability, or legitimacy of users.
• All users are encouraged to exercise caution, common sense, and personal judgment when engaging with others.
• Users should meet in public places and take appropriate safety precautions.

8. Payment and Transactions:

• Kourierly does NOT collect, hold, process, or transfer money between users.
• All payment arrangements are handled directly between Senders and Delivery Partners.
• Kourierly is not responsible for any payment disputes, non-payment, or fraudulent transactions.
• Subscription fees are non-refundable except as required by law.
• We reserve the right to change subscription pricing with 30 days' written notice.
• Failed payments may result in account suspension or termination.

9. Revenue Sharing Program:

• Kourierly may, at its sole discretion, offer revenue sharing opportunities to active users.
• Revenue sharing is based on platform performance, user engagement metrics, and other criteria determined by Kourierly.
• Revenue sharing terms, eligibility, and amounts may change at any time.
• No user has a guaranteed right to revenue sharing.
• Revenue sharing payments are subject to applicable taxes and regulations.

10. Intellectual Property

• All content, software, trademarks, logos, and technology on Kourierly are owned by us or our licensors.
• Users may not copy, modify, distribute, sell, or create derivative works from our platform content.
• Users grant Kourierly a non-exclusive, royalty-free license to use their content for platform operations.
• Any feedback or suggestions provided by users become the property of Kourierly.

11. Indemnification

You agree to indemnify, defend, and hold harmless Kourierly and its founders, directors, employees, affiliates, and agents from any and all claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Platform.
• Your violation of these Terms.
• Your violation of any law or regulation.
• Any content you submit or transmit through the Platform.
• Your interactions with other users.

12. Force Majeure

Kourierly shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, fires, floods, earthquakes, or severe weather.
• Government actions, laws, regulations, or court orders.
• Network failures, internet outages, or technical infrastructure issues.
• Labor strikes, shortages, or disputes.
• Pandemics, epidemics, or public health emergencies.
• War, terrorism, or civil unrest.
• Any other unforeseeable events or circumstances.

13. Dispute Resolution

Good Faith Negotiation:

Any disputes must first be resolved through good faith negotiation between the parties for a period of 30 days.

Arbitration:

If disputes cannot be resolved through negotiation, they will be settled through binding arbitration in Chennai, Tamil Nadu, India, under the Arbitration and Conciliation Act, 2015.

Class Action Waiver:

Users waive any right to participate in class action lawsuits or class-wide arbitration against Kourierly.

Jurisdiction:

For any matters not subject to arbitration, the courts in Chennai, Tamil Nadu, India shall have exclusive jurisdiction.

14. Emergency Situations

In case of emergencies during delivery:

• Contact local authorities first (Police: 100, Medical: 108, Fire: 101).
• Notify Kourierly support through the app or helpline.
• Kourierly's role is limited to facilitating communication and providing available user information to authorities when legally required.

15. Modifications & Termination

• Kourierly may modify these Terms at any time with reasonable notice.
• Continued use after changes constitutes acceptance of new terms.
• Kourierly may suspend or terminate accounts at its sole discretion.
• Users may terminate their accounts at any time through the app settings.
• Termination does not affect previously incurred obligations or liabilities.

16. Governing Law

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
